The Company's issued share capital consists of 29,058,275 ordinary shares with a nominal value of 25 pence each (“Ordinary Shares”), each share having equal voting rights.
The Company holds 51,792 Ordinary Shares in treasury and therefore the total number of Ordinary Shares with voting rights is 29,006,483.

In accordance with the AIM Rules (rule 26), in so far as the Company is aware, the percentage of the Company’s issued share capital that is not in public hands is 52%. This percentage comprises the holdings of Artemis Investment Management Ltd, Herald Investment Management Ltd, Treasury shares and shares held by the Trustee of the SciSys plc share incentive plan and the total Directors beneficial holdings of 26%.
